These Terms of Use ("Terms") govern your access to and use of Memshare, including our website, web app at https://app.memshare.site, and related mobile clients (together, the "Service").

By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use Memshare.

Memshare helps you import media (such as YouTube links or direct URLs), generate Japanese transcripts, and study with reading aids and translations. Features may change, be limited by plan or region, or become unavailable without notice as we improve the product.

You must provide accurate account information and keep your login credentials secure. You are responsible for activity under your account. Notify us promptly if you suspect unauthorized access.

You retain ownership of content you submit to Memshare (for example URLs, titles, tags, and notes). You grant us a worldwide, non-exclusive license to host, process, transcribe, translate, display, and otherwise use that content solely to operate and improve the Service for you.

You represent that you have the rights needed to import and process the media you submit, and that doing so does not violate third-party terms (including YouTube or other platform terms), copyright, privacy, or other laws.

You agree not to:

• use the Service for unlawful, harmful, or abusive purposes;
• attempt to bypass rate limits, security controls, or access restrictions;
• reverse engineer, scrape, or overload the Service except as allowed by law;
• upload malware or interfere with other users;
• misrepresent your identity or affiliation;
• use Memshare to infringe intellectual property or privacy rights of others, including by importing media you are not allowed to use.

Media hosted by YouTube or other third parties remains subject to those providers' terms. Memshare does not claim ownership of third-party media and is not responsible for third-party sites, availability, accuracy, or legality of linked content.

Transcripts, furigana, translations, and similar outputs may be generated automatically and can contain errors. You are responsible for how you rely on them. Do not treat generated text as professional, legal, or certified translation advice.

Memshare branding, software, UI, and documentation are owned by us or our licensors. These Terms do not grant you any right to copy, modify, or distribute our software except as needed to use the Service as provided.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that transcripts or translations will be accurate or complete.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEMSHARE AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $50.

You may stop using Memshare at any time. We may suspend or terminate access if you violate these Terms, if required by law, or if we discontinue the Service. Provisions that by nature should survive (including ownership, disclaimers, and limitations) will survive termination.

We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date on this page. Continued use after changes become effective constitutes acceptance of the updated Terms.
